# Commercial License Agreement
Licensee: Melon Squibbles
Licensor: Purchaser
Effective Date: Date of purchase
## 1. Grant of License
The Licensor hereby grants to the Licensee a non-exclusive, non-transferable license to use the PNG/SVG file provided by the Licensor (the "Licensed Material") for the purpose of engraving, printing, and creating products (the "Permitted Uses").
## 2. Restrictions
The Licensee shall not:
- Use the Licensed Material for any digital reproduction or distribution, including but not limited to digital downloads, file sharing, or resale in digital form.
- Claim ownership or authorship of the Licensed Material.
- Use the Licensed Material in a manner that is harmful, deceptive, unlawful, or in a way that could be considered libelous, defamatory, obscene, or illegal.
## 3. Intellectual Property
The Licensor asserts that they hold all necessary rights to the Licensed Material and have the authority to grant the rights specified in this Agreement. The Licensee acknowledges that the Licensed Material is the property of the Licensor and is protected by intellectual property laws.
## 4. Term
This Agreement is effective from the Effective Date and will continue until terminated by either party in accordance with the terms set forth herein.
## 5. Termination
This Agreement may be terminated by either party upon written notice if the other party breaches any of its terms and fails to cure such breach within thirty (30) days of receipt of the notice.
## 6. Governing Law
This Agreement shall be governed by the laws of the jurisdiction in which the Licensor resides, without regard to its conflict of law provisions.
## 7. Entire Agreement
This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.
